
Standards governing employee behavior in their relationships with society
Social contribution activities
1. Basic attitude
The company shall actively promote social contribution activities with the intention of making the local community more affluent and comfortable.
To that end, the "Ibiden Group Social Contribution Committee" (consisting of Ibiden, Ibiden group companies, and their officers and employees) has been playing a central role in our activities to provide active cooperation and assistance in the area of social contribution.
2. Behavior standards
- (1) Participation in welfare activities and environmental protection activities
- Officers and employees shall be encouraged to participate in welfare activities and environmental protection activities through volunteer activities and the like.
The company shall actively participate in various activities through the Ibiden Group Social Contribution Committee or other means. The company shall also give encouragement and assistance to employees engaged in social contribution activities.
- (2) Cultivation of a relationship of mutual trust with the local community
- Officers and employees shall actively participate in various activities in the fields of local administration, culture, and education as a way of serving local needs.
- (3) Assistance with the promotion of academic, cultural, and sports activities
- The company shall endeavor to assist the promotion of academic, cultural, and sports activities commensurate with the company's management philosophy.
Corporate public relations activities
1. Basic attitude
The company aims to become a "business enterprise trusted by society" through its public relations activities. The company shall therefore endeavor to increase its enterprise value by giving accurate information to stakeholders such as stockholders, business partners, consumers, and the local community.
2. Behavior standards
- (1) Trusted business enterprise
- In an effort to secure and retain the confidence of the local community in the company's activities, officers and employees shall attempt to improve the company's image, for example, by participating in local events and holding events.
Each officer and employee shall assume the role of a public relations officer by judging and acting in compliance with this behavior standard.
- (2) Careful use of expressions and terms
- Officers and employees shall avoid using, as part of documents or information given to parties inside or outside the company, expressions that may defame other business enterprises or persons, or terms that lead to social discrimination.
Officers and employees shall fully recognize that some of the words in casual daily use are of a discriminatory nature and shall endeavor to refrain from using misleading expressions and terms.
Relationships with stockholders etc.
1. Basic attitude
The company aims to strengthen and improve its corporate structure in its effort to establish an enduring and stable management foundation and to improve business performance. The company seeks to redistribute its profits to stockholders basically by attempting to achieve stock price improvements and by maintaining a stable dividend payment. In doing so, the company intends to give consideration to all the factors involved such as its business performance and dividend payout ratio. The company is determined to follow this policy to live up to the expectations of stockholders and to ensure its accountability to stockholders.
The company shall comply with applicable laws and regulations such as the Commercial Code and the Securities and Exchange Law as part of its commitment to disclose accurate corporate information.
The company and its officers and employees shall deal with antisocial elements and groups in a resolute manner and shall use utmost caution to ensure that no violation of laws or corporate ethics will result.
2. Behavior standards
- (1) Promotion of IR/SR activities
- To live up to the expectations of stockholders and investors all over the world (expectations for increased profits), officers shall engage in management activities and efforts to increase management efficiency with a good understanding of the legal functions and responsibilities of general meetings of stockholders, the board of directors, directors, and auditors.
Officers and employees shall acknowledge the importance of IR/SR activities (public relations activities targeted at investors and stockholders) and shall endeavor, through timely disclosure, to make the company's corporate management and activities understood.
The company shall promote IR/SR activities targeted at investors and stockholders. The company shall disclose its management performance through the media, business reports, financial statements, and the like. At the same time, the company shall make public its management plans and measures taken to improve profits. Officers and employees shall remain receptive to views and criticisms expressed in response to the disclosure above and shall endeavor to reflect them in future business activities.
- (2) Measures against antisocial elements and groups
- The company shall deal with antisocial elements and groups in a resolute manner.
Any officer or employee contacted by or alarmed about the potential for trouble with an antisocial element or group shall immediately consult the divisions concerned without attempting to respond in his or her personal capacity.
- (3) Prohibition of payoffs to stockholders
- The company shall deal with "sokaiya," or corporate racketeers, in a resolute manner and shall never offer to make any payoffs to them.
Officers and employees shall comply with the provisions in the Commercial Code that prohibit payoffs to stockholders and shall act in conformance with socially accepted standards of decency.
Relationships with public agencies
1. Basic attitude
The company and its officers and employees shall never behave in a way that may imply the existence of "collusion" with political parties or public agencies.
The company shall make its legitimate demands using appropriate methods and through appropriate channels when seeking to have such demands considered by public agencies.
2. Behavior standards
- (1) Compliance with laws and regulations
- Officers and employees shall comply with the Public Office Election Law, the Law to Regulate Money Used for Political Activities, and other applicable laws and shall refrain from behaving in a way that misleads or potentially misleads others and leads to the suspicion that bribery, payoffs, illegal political contributions, or collusion with public agencies is taking place.
- (2) Donations to public agencies, political contributions, gift giving, and entertainment
- Officers and employees shall follow internal approval procedures in making donations or political contributions*10 in the name of the company.
Officers and employees shall exercise moderation in showing courtesy to or socializing with persons involved in politics or government administrations.
Officers and employees shall not give, propose to give, or promise to give parties including public servants and persons designated by special laws any benefits (such as money, goods, entertainment, or special favors) in violation of the National Public Service Ethics Law, the National Public Service Ethics Code, or other similar provisions and the like made by public agencies or organizations. In addition, officers and employees shall firmly decline any and all requests for the aforementioned benefits.
*10)Political contributions from business enterprises are prohibited by law in some overseas countries, and therefore behave prudently in accordance with the local laws and customs in each country.
